INCOTERMS define the risk and liability for the buyer and the seller. "E" terms place all responsibility on the buyer. "D" terms place responsibility on the seller. These risks and responsibilities should be part of the negotiation as they have costs attached to them. INCOTERMS do not determine passage of title to the goods.
